Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the “Customer,” “you,” or “your”) and QwikLive.IO, Inc. (“QwikLive,” “we,” “us,” or “our”), a corporation incorporated under the laws of the State of New Jersey, United States.
By registering for, accessing, or using the QwikLive platform, APIs, tools, or any associated services (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
Important: If you do not agree to these Terms, you must not access or use the Services. Use of the Services constitutes your ongoing acceptance of the most current version of these Terms.
Definitions
Definitions
For the purposes of these Terms, the following definitions apply:
Platform: The QwikLive software platform, including QwikLive Core™, APIs, SDKs, sandbox environments, dashboards, and related tools.
Customer Data: Data, content, or information uploaded, submitted, or generated by the Customer through use of the Services.
Subscription: A recurring license to access and use the Platform under the tier and scope selected by the Customer during registration or as agreed in a separate Order Form.
Authorized User: An individual granted access to the Platform by the Customer under the Customer’s account credentials.
Documentation: Technical guides, API references, integration manuals, and other materials provided by QwikLive relating to the Services.
Confidential Information: Any non-public information disclosed by one party to the other that is marked confidential or reasonably should be understood as confidential.
Platform
Description of Services
QwikLive provides an enterprise-grade financial services integration platform that enables organizations to connect disparate banking, payments, compliance, and data systems. Services include but are not limited to:
- QwikLive Core™ integration middleware and API normalization layer
- Industry-specific sandbox environments for development and testing
- Pre-built connectors for core banking, payment rails, card schemes, KYC/AML, and Open Banking
- Agentic AI orchestration capabilities (MCP-ready architecture)
- Technical documentation, developer tools, and support resources
- Professional and managed services as separately agreed
QwikLive reserves the right to modify, update, or discontinue any feature or component of the Services with reasonable notice. Material changes will be communicated at least 30 days in advance.
Registration
Account Registration & Responsibilities
To access the Services, you must register for an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality and security of all account credentials
- All activity that occurs under your account, including that of Authorized Users
- Promptly notifying QwikLive of any unauthorized use of your account at support@qwiklive.io
- Ensuring all Authorized Users are bound by and comply with these Terms
- Keeping your account information accurate and up to date
One account per organization. Each company or legal entity may register one primary account. Additional seat licenses for Authorized Users are available under applicable subscription tiers.
Usage Policy
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to transmit, store, or process any data that violates applicable law or regulation, including financial services laws, data protection laws, or export control regulations
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
- Circumvent, disable, or interfere with any security features, rate limits, or access controls
- Use the Services to send unsolicited communications or engage in any form of network abuse
- Sublicense, resell, or transfer your rights to the Services without QwikLive’s prior written consent
- Use the Services in a manner that imposes an unreasonable burden on QwikLive’s infrastructure
- Access the Services to build a competitive product or benchmark the Services for publication without written permission
- Introduce malicious code, viruses, or harmful data into the platform or any connected system
QwikLive reserves the right to suspend or terminate access immediately where a breach of this section is identified or reasonably suspected.
Intellectual Property
Intellectual Property Rights
All intellectual property rights in the Platform, documentation, APIs, underlying technology, trademarks, and content provided by QwikLive remain the exclusive property of QwikLive.IO, Inc. and its licensors. Nothing in these Terms grants you any ownership rights in the Services or QwikLive’s intellectual property.
QwikLive grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely in accordance with these Terms and the applicable Documentation.
Customer Data Ownership: You retain full ownership of all Customer Data you upload or generate through the Services. You grant QwikLive a limited license to process Customer Data solely to provide and improve the Services as described in our Privacy Policy.
Any feedback, suggestions, or improvements you submit to QwikLive may be used by QwikLive without restriction and without obligation to you.
Billing
Fees & Payment
Access to the Services is subject to the subscription fees set out in your selected plan or as agreed in a separate Order Form. The following terms apply:
- All fees are quoted and payable in U.S. Dollars unless otherwise stated in an Order Form
- Subscription fees are billed in advance on a monthly or annual basis depending on your plan
- Payment is due within 30 days of invoice unless otherwise agreed in writing
- Late payments may be subject to interest at 1.5% per month or the maximum permitted by law
- All fees are non-refundable except as expressly provided in these Terms or required by applicable law
- QwikLive reserves the right to adjust pricing with at least 60 days’ written notice prior to your next renewal period
- Taxes: you are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes on QwikLive’s net income
Confidentiality
Confidentiality
Each party agrees to maintain the confidentiality of the other party’s Confidential Information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential Information may not be disclosed to third parties without prior written consent, except:
- To employees, contractors, or advisors who need to know and are bound by similar confidentiality obligations
- As required by applicable law, regulation, or court order (with prompt advance notice where permitted)
- Where the information is independently developed, publicly available through no fault of the receiving party, or received from a third party without restriction
The obligations of this section survive termination of these Terms for a period of 5 years.
Disclaimers
Warranties & Disclaimers
QwikLive warrants that:
- It has the legal authority to enter into these Terms
- It will use commercially reasonable efforts to maintain platform availability at 99.9% uptime (excluding scheduled maintenance)
- It will process Customer Data in accordance with applicable law and its Privacy Policy
DISCLAIMER: Except as expressly stated above, the Services are provided “as is” and “as available” without warranty of any kind. QwikLive expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. QwikLive does not warrant that the Services will be error-free, uninterrupted, or free of harmful components.
Liability
Limitation of Liability
To the maximum extent permitted by applicable law:
- Neither party shall be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages
- QwikLive’s total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to QwikLive in the 12 months immediately preceding the event giving rise to the claim
These limitations apply to the fullest extent permitted by law and reflect a fair allocation of risk between the parties. Certain jurisdictions do not allow the exclusion of consequential damages, so these limitations may not apply to you.
Indemnification
Indemnification
You agree to indemnify, defend, and hold harmless QwikLive and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in violation of these Terms or applicable law
- Your Customer Data, including any claim that your data infringes the rights of a third party
- Your breach of any representation, warranty, or obligation under these Terms
- Any negligence or willful misconduct by you or your Authorized Users
Term
Term & Termination
These Terms commence on the date you first access the Services and continue until your subscription expires or is terminated. Either party may terminate the agreement:
- By providing 30 days’ written notice for convenience at the end of a subscription term
- Immediately upon written notice if the other party materially breaches these Terms and fails to cure within 15 days of notice
- Immediately upon written notice if the other party becomes insolvent, makes an assignment for the benefit of creditors, or files for bankruptcy
Upon termination, your right to access the Services ceases immediately. QwikLive will provide Customer Data in a portable format for 30 days post-termination, after which it will be deleted in accordance with the Privacy Policy. Clauses regarding confidentiality, intellectual property, limitation of liability, and governing law survive termination.
Legal
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles.
Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in Princeton, New Jersey. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Miscellaneous
General Provisions
- Entire Agreement: These Terms, together with any Order Forms or agreements executed by the parties, constitute the entire agreement and supersede all prior understandings relating to the Services.
- Amendments: QwikLive may update these Terms from time to time. Material changes will be communicated with at least 30 days’ advance notice. Continued use of the Services constitutes acceptance.
- Severability: If any provision is found to be unenforceable, the remainder of these Terms continues in full force and effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign these Terms without QwikLive’s prior written consent. QwikLive may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
- Force Majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, or internet outages.
- Notices: Notices under these Terms must be in writing and delivered by email (to the registered address of record) or by certified mail to the addresses stated herein.
